Sections \r\n2.3.1 and 2.3.2 of the Listing Rules. This exemption \r\nwas granted because the company's business has been \r\nin existence, but has been carried out by different \r\nlegal entities.\r\n\r\nThe Board stipulated that, prior to the first day of \r\nlisting, the company must confirm that the \r\ntransaction (separation) in respect of the transfer \r\nof business activities from Statoil ASA to Statoil \r\nFuel & Retail ASA has been completed as planned, that \r\nthe company satisfies the requirement for the number \r\nof shareholders as required by Section 2.4.2 of the \r\nListing Rules, and that at least 25% of the shares to \r\nbe admitted to listing are held by the general public \r\nas required by Section 2.4.1 of the Listing Rules. \r\nListing is also conditional on the company satisfying \r\nthe requirements for the listing of shares in respect \r\nof pre-issue allotment rights pursuant to Section \r\n2.5.2 of the Listing Rules, and the company must \r\npublish a prospectus.\r\n\r\nThe Board authorised the Chief Executive Officer of \r\nOslo Børs to fix the date of the first day of \r\nlisting, which is to be no later than 12 November \r\n2010.\r\n","category":[{"id":1005,"category_no":"INNSIDEINFORMASJON","category_en":"INSIDE INFORMATION"}],"markets":["XOSL"],"issuerId":11206,"correctionForMessageId":0,"correctedByMessageId":0,"issuerSign":"SFR","issuerName":"Statoil Fuel & Retail ASA","instrId":0,"instrumentName":"","instrumentFullName":"","publishedTime":"2010-09-29T11:31:05.483Z","test":false,"numbAttachments":0,"attachments":[],"clientAnnouncementId":"650A7118-44DC-4FBB-8F69-33DE9F664F41","infoRequired":1,"oamMandatory":1}}}
